Protection Mechanism Notes

  • Default Coverage: During the 36-month protection period, if the owner defaults and stops making monthly payments, the Lead Lender is compensated by receiving equity from the owner's initial contribution equal to the missed payments.
  • Equity Transfer on Default: For each month of missed payments during the protection period, an amount equal to one monthly payment is deducted from the owner's equity and transferred to the Lead Lender as compensation.
  • Calculation Example: If the owner's monthly payment is £1,500 and they default at month 6 (missing 6 payments), the Lead Lender receives £9,000 (£1,500 × 6 months) deducted from the owner's equity contribution. The owner retains their remaining equity.
  • Owner Retention: The owner retains any equity that exceeds the value of missed payments. If the owner contributed £100,000 and defaults after 6 months of missed £1,500 payments, they retain £91,000 of their equity.
  • Lead Lender Compensation: The transferred equity increases the Lead Lender's ownership stake in the property, compensating them for the payment default risk they bear during the protection period.
  • No Investor Impact: The protection mechanism only affects the Owner and Lead Lender. Investor stakes and returns remain unchanged regardless of owner default scenarios.
  • Protection Cap: The maximum equity that can be transferred is limited to the owner's initial equity contribution. If missed payments exceed the equity amount, the owner loses all protected equity and additional liability is created.
  • Post-Protection Period: After 36 months, the protection period ends and standard mortgage default procedures apply. Any remaining owner equity is no longer protected against default.
